Acceptance of Terms of Sale
Chilewich | Sultan LLC (“Chilewich”) allows its authorized Chilewich resellers to place wholesale orders for Chilewich products through its B2B Website subject to the following terms of sale (the “Terms of Sale”), which may be updated from time to time without prior notice. The most current version of these Terms of Sale may be viewed at any time at: www.chilewich.com/wholesale/terms_sale. Please read these Terms of Sale carefully. By gaining access to this B2B Website, you agree that you have read and understand these Terms of Sale and any posted updates and that you accept and agree to be bound by them. If you do not wish to be bound by these Terms of Sale, please do not make purchases through this B2B Website.
New Accounts
In order to become an authorized Chilewich reseller, an online application must be processed: www.chilewich.com/wholesale/apply. A completed New Account Form and a copy of your Resale Certificate is also required.
Chilewich is currently accepting new accounts in the U.S. and Canada. Chilewich has a strict distribution policy to protect its existing customer base. If your account is located within ½ mile of an existing and active Chilewich retailer, we may be unable to accept your order.
How To Place Wholesale Orders
At the present time, only U.S. authorized Chilewich resellers are able to place orders through the Chilewich B2B Website by using a valid user id and password. Canadian authorized Chilewich resellers may place orders through local Chilewich sales representatives.
Distribution of Chilewich Products
Chilewich’s main line of distribution is through retailers with a dedicated retail storefront. Any other distribution channel, (web, catalog, other) must have prior approval by Chilewich Sales Department. Please submit any requests concerning distribution to our sales department at wholesale@chilewich.com.
Wholesale Prices
All listed prices on the Chilewich B2B Website are wholesale prices intended for stocking retailers only.
Credit
At its sole discretion, Chilewich reserves the right to withhold shipments on accounts considered not within good credit standing.
Shipping
Orders will be shipped FOB Chatsworth, GA, USA, which means that title will pass to you at the point of shipment. We will notify you of the shipping charges that are applicable to your order and payable by you, approximately two (2) days after your order is placed.
Minimum Orders
For all new retail accounts or any retail account that has been inactive for twelve (12) months or more, the following purchase minimums apply:
Tabletop (Tablemats, Napkins, Napkin Rings) US$350.00
Note: Minimum is equivalent to approx. 5 dozen tablemats. Custom sized tablemats are not available.
Floormats US$500.00
There is no reorder minimum for active retail accounts at this present time. However, prepack minimums must be adhered to.
Payment Terms
New accounts : First order under US$1,000 (and all reorders up to US$1,000) must be prepaid by credit card. Chilewich accepts Visa, MasterCard, and American Express. Business’ established over $1,000 can request Net 30 terms pending credit approval. Proforma, and C.O.D. are no longer accepted.
Existing retail accounts: Business’ established over US$1,000 can request Net 30 terms, pending credit approval based on active trade references and/or other criteria.
Credit Card Payments
Chilewich requires all authorized Chilewich resellers to have a valid credit card number on file with us. This credit card number will be charged each time an order is placed, with the exception of accounts established with Net 30 payment terms. Unless you have placed an order at the beginning of a season at a trade show, or with an otherwise stated ship date, expect charges to appear on your credit card 2-4 business days after your order is placed. Chilewich may seek pre-authorization of order charges from your credit card provider in certain cases.
Please make every effort to provide Chilewich with a valid credit card number. A valid credit card number is a current or unexpired credit card with available credit. Should your credit card be declined, our Customer Service Team will call you three (3) times to obtain a new, valid credit card number. If you fail to provide a valid credit card number after we make three (3) attempts to reach you, Chilewich will automatically cancel your order. You will receive written confirmation of the cancellation in the mail.
Existing Retail Accounts - General Policies
Active accounts must generate at least US$3,000.00 per annum and must order at least once per season to expect exclusivity in a neighborhood/zip code. Chilewich reserves the right to use its sole discretion to grant or deny exclusivity. Accounts that have not placed an order for twelve (12) consecutive months or two (2) consecutive selling seasons will be subjected to Chilewich’s new account procedures and minimums.
Revisions to Orders
Chilewich only accepts changes made to purchase orders submitted the same day. Same day changes to purchase orders can be submitted to Chilewich at wholesale@chilewich.com. Any additions made to a purchase order in the days following its submission will be processed as a new order.
Chilewich will not cancel or add items to a shipment once the order is packed. If changes to a shipment that has already been packed are unavoidable, a 15% re-stocking fee will be applied to your account.
Termination
Chilewich reserves the right to terminate your account at any time.
Drop Shipping
Chilewich offers drop shipping to its authorized Chilewich resellers via our B2B Website. Orders for dropship must adhere to prepack minimums as defined by our line sheet.
Backorders
Orders will be partial shipped as they become ready, unless “ship complete” is specified at the time of order. Chilewich will pay for most freight costs associated with backorders.
Return Policy
This policy sets out the minimum requirements for properly documenting, packing, and shipping returns to Chilewich. Chilewich reserves the right to refuse any returns not in compliance with the following guidelines:
Chilewich will accept authorized returns only. A Return Authorization must be requested in writing at returns@chilewich.comno more than four (4) weeks after the merchandise in issue was originally shipped. Please inspect all merchandise upon receipt and immediately report any defects to us in writing at returns@chilewich.com. Once a Return Authorization is issued by Chilewich, merchandise must be returned [BY A TRACEABLE METHOD] within four (4) weeks of the Return Authorization issue date or it will not be accepted.
“Where To Buy” Web Page
New retailers are not automatically added to the “Where to Buy” page of the Chilewich website. In order to be added to this web page, a written request must be submitted to Chilewich at wholesale@chilewich.com. It is at Chilewich’s discretion to grand your request however the following requirements must be met: 1. Account must be in good standing; 2. Account must have been actively retailing Chilewich products for at least one (1) year prior to the date of the request; and 3. Account must be receiving a minimum of US$5,000.00 in wholesale shipments per calendar year.
Chilewich can only make changes to its “Where to Buy” web page once per product season. Unfortunately, Chilewich may not be able to grant your request even if the above criteria are met.
